Company Registration

Register a company on the Isle of Man — formation, annual returns, FSA licensing, company types and registered agents.

Company Registration

The Isle of Man makes it straightforward to register a company, with the added advantage of 0% corporate tax for most business types.

Company Types

  • Companies Act 2006 company — The standard IoM company. Similar to a UK Ltd but with IoM-specific features. Most common choice.
  • Limited Liability Company (LLC) — Available under the LLC Act 1996. Flexible structure popular with international businesses.
  • Sole Trader/Partnership — No registration required, but must register for income tax.
  • Foundation — Available under the Foundations Act 2011. Used for wealth planning and charitable purposes.

How to Register

  1. Choose your company name (check availability at Companies Registry)
  2. Appoint a Registered Agent — mandatory for IoM companies. This is typically an advocate or CSP (Corporate Service Provider).
  3. File Memorandum and Articles of Association
  4. Pay registration fee (~£100)
  5. Receive Certificate of Incorporation (usually within 24-48 hours)

Ongoing Requirements

  • Annual Return filing (fee ~£380)
  • Registered office on the Isle of Man
  • At least one director
  • Beneficial ownership register (submitted to Financial Intelligence Unit)

FSA Licensing

If your business involves financial services, insurance, e-gaming, or other regulated activities, you'll need a licence from the IoM Financial Services Authority (FSA). The process is thorough but well-supported.
